Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Pcnaid Legal Hub (the “Service”), operated by Pcnaid Inc. (“Pcnaid”, “we”, “us”). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms on behalf of yourself and the firm or organization you represent (“you”). If you do not agree, do not use the Service.

1. The Service

Pcnaid Legal Hub is a multi-tenant, subscription software platform for law firms, providing matter management, client and intake records, document storage, e-signature workflows, billing and trust accounting, scheduling, communications, an AI assistant, and a branded client portal. We may add, change, or remove features over time; where a change is material and adverse, we will make reasonable efforts to notify you.

2. Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for all activity under your workspace, for maintaining the confidentiality of credentials, and for the acts and omissions of your users. You are responsible for determining that your use of the Service complies with the professional and ethical rules that apply to your practice, including rules governing client confidentiality and the handling of client funds.

3. Subscriptions, fees, and billing

Paid plans (currently Starter and Professional) are billed in advance on a recurring monthly basis through our payment processor. Fees are stated in U.S. dollars and are non-refundable except where required by law. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Enterprise arrangements are governed by a separate order or agreement. We may change pricing on renewal with advance notice.

4. Your content and data

As between you and Pcnaid, you retain all rights to the matters, documents, client records, and other data you submit to the Service (“Your Data”). You grant us a limited license to host, process, and transmit Your Data solely to provide and support the Service. You are responsible for the accuracy and legality of Your Data and for having the rights necessary to submit it. You can export Your Data as described in the product.

5. Acceptable use

You agree not to:

• use the Service to violate any law or the rights of others;
• attempt to breach tenant isolation, access another organization’s data, or probe or disrupt the Service’s security;
• reverse engineer, resell, or provide the Service to third parties except your own clients through the client portal as intended;
• upload malicious code, or use the Service to send unlawful, harassing, or infringing content;
• exceed documented rate limits or usage caps, or interfere with other customers’ use.

6. AI assistant

The AI assistant generates output based on the documents and inputs available within your workspace. AI output may be incomplete or incorrect and is provided for your assistance only. It is not legal advice and does not substitute for the independent professional judgment of a licensed attorney. You are responsible for reviewing AI output before relying on or acting upon it.

7. Third-party services

The Service integrates with third parties (for example, for payments, email, SMS, scheduling, and identity). Your use of those integrations may be subject to the third party’s terms, and we are not responsible for third-party services. Client card payments are processed by our payment processor; we do not store full card details.

8. Confidentiality and security

We implement technical and organizational measures designed to protect Your Data, described in our security overview and our Data Processing terms. No method of transmission or storage is perfectly secure, and we do not warrant that the Service will be uninterrupted or error-free.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Pcnaid is a software provider and is not a law firm; nothing in the Service constitutes legal advice.

10. Limitation of liability

To the maximum extent permitted by law, Pcnaid will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

11. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or where required to protect the Service or other customers. On termination, your right to use the Service ends; we will make Your Data available for export for a reasonable period unless prohibited by law.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new “last updated” date and, for material changes, provide reasonable notice. Continued use after the changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Texas, except where applicable law provides otherwise.
